Terms of Service

These Terms of Service (“Terms”) govern your use of the websites, hosting, email, domain, managed website and related services provided by Just Panda (Pty) Ltd trading as WebPanda (“WebPanda”, “we”, “us” or “our”).

By ordering, accessing or using any WebPanda service, you agree to these Terms together with our Privacy Policy and any service-specific terms, quotation or order details that apply to your purchase.

1. Who We Are

Our website is webpanda.co.za and our customer Client Area is available at cloudpanda.co.za.

2. Your Account

You must provide accurate and current information when creating or maintaining a WebPanda account.

You are responsible for keeping your usernames, passwords and other access credentials secure and for activity performed through your account. Please notify us promptly if you believe your account, website, email account or other service has been accessed without authorisation.

You may not share access credentials in a way that compromises the security of our systems or another customer.

3. Our Services

WebPanda may provide services including:

  • Web hosting;
  • Business email hosting;
  • Managed websites;
  • Domain registration, renewal and transfer services;
  • Website design, migration and maintenance;
  • SSL certificates and related website services;
  • Backups;
  • Technical support; and
  • Other related digital services offered from time to time.

The features, storage limits, website limits, email limits, billing period and other specifications of a service are those shown on the applicable order page, quotation or service description at the time of purchase.

4. Fees, Billing and Renewal

Paid services are billed in advance according to the billing cycle selected when ordering, which may include monthly, annual or another billing period offered by WebPanda.

Recurring services continue until cancelled. WebPanda will issue invoices for recurring services before or when payment becomes due. Where an automatic or recurring payment method has been authorised, payment may be collected automatically in accordance with that authorisation.

You are responsible for ensuring that your contact and billing information remains current and that invoices are paid by their due dates.

Prices may change from time to time. Where a change affects an existing recurring service, we will provide notice where required by applicable law or where reasonably practical.

Any taxes applicable to a service will be dealt with as shown on the relevant order, quotation or invoice.

5. Non-Payment and Suspension

If an invoice remains unpaid after its due date, WebPanda may suspend the affected service until payment is received.

Continued non-payment may result in termination of the service and deletion of associated websites, email accounts, files, databases or other data after any applicable retention period.

Suspension does not automatically cancel amounts that became due before the suspension.

Customers should contact us as soon as possible if they are experiencing a billing problem so that we can determine whether an appropriate arrangement can be made.

6. Cancellation and Refunds

You may request cancellation of a service through the WebPanda Client Area or another method made available by WebPanda.

Unless otherwise agreed or required by law, cancellation of a prepaid recurring service normally takes effect at the end of the period already paid for and unused portions of that billing period are not automatically refundable.

Domain registrations, renewals, transfers, third-party licence costs and work already performed may be non-refundable once submitted or supplied because WebPanda may already have incurred those costs on your behalf.

Nothing in these Terms limits any cancellation, refund or other consumer right that cannot lawfully be excluded under South African law.

7. Domain Names

WebPanda provides domain services using accredited registrars, registries and other domain service providers. Domain registrations and transfers are therefore also subject to the rules and policies of the relevant registry and registrar.

The customer is responsible for providing accurate registrant information and for keeping that information current.

Registration of a requested domain name is not guaranteed until the relevant registry or registrar has successfully completed the registration.

Where available, WebPanda may enable domain privacy or WHOIS privacy services. Availability depends on the domain extension, registry and registrar and cannot be guaranteed for every domain.

7.1 Domain Ownership

Unless otherwise expressly agreed in writing, a domain registered by WebPanda on behalf of a customer is registered for that customer and is not owned by WebPanda merely because WebPanda manages the registration.

Domain transfers remain subject to applicable registry and registrar rules, eligibility requirements, security procedures and payment of amounts properly due in relation to the domain.

7.2 Complimentary or Free Domain Promotions

Certain qualifying WebPanda services may include the initial registration of one eligible domain at no additional charge for the first registration period. The qualifying service, eligible domain extension and duration of the promotion will be stated on the applicable order page or offer.

The complimentary domain is a promotional benefit attached to the qualifying WebPanda service. It does not mean that the underlying domain registration has no value or registration cost.

If a customer requests to transfer a complimentary domain away from WebPanda during the first 12 months after registration, the complimentary-domain promotion ends and the customer must pay the normal first-year registration price for that domain that applied when the domain was originally registered, less any registration amount already paid.

The same may apply where the qualifying hosting or managed website service is cancelled during the first 12 months and the customer elects to retain or transfer the complimentary domain independently of that service.

The applicable normal domain price will be the price disclosed by WebPanda for that domain extension at the time of the original order.

This provision is intended to recover the domain registration benefit supplied as part of the promotion and does not remove any statutory rights available to the customer under applicable law.

7.3 Domain Renewals and Expiry

Complimentary domain promotions normally apply only to the initial registration period unless an offer expressly states otherwise. Future renewals are charged at the applicable domain renewal price.

Customers remain responsible for renewing domains before expiry and for keeping their contact details current so that renewal notices can be received.

An expired domain may stop resolving and associated websites and email may stop functioning. Depending on registry rules, an expired domain may enter a redemption or recovery period carrying additional charges, or may eventually become available for registration by another party.

WebPanda cannot guarantee recovery of a domain after it has expired.

8. Web Hosting

Hosting plans are subject to the storage, website, email and other limits stated for the applicable plan.

Where traffic or bandwidth is described as unlimited, this means that WebPanda does not impose a routine fixed traffic allowance on normal website usage. It does not provide unlimited server resources and remains subject to reasonable and fair use of CPU, memory, disk operations, network resources and other shared infrastructure.

A hosting account may not be used primarily as:

  • A file storage or file distribution service;
  • A backup repository unrelated to the hosted website;
  • A cryptocurrency mining service;
  • A proxy, botnet, malware or command-and-control service;
  • A spam or unsolicited bulk messaging platform; or
  • Any service intended to disrupt, attack or abuse another network or system.

If usage materially affects the security, stability or performance of our infrastructure or other customers, we may contact the customer to reduce usage, recommend a more appropriate service, temporarily restrict the affected resource or suspend the service where reasonably necessary.

9. Email Hosting

Email hosting may only be used for lawful and legitimate communications.

You may not use WebPanda email services for spam, unsolicited bulk email, phishing, malware distribution, fraudulent communications or any activity likely to damage the reputation of WebPanda’s mail infrastructure or associated networks.

Email delivery cannot be guaranteed because delivery may depend on third-party mail servers, spam filters, reputation systems, DNS services and other systems outside WebPanda’s control.

10. Managed Websites and Website Services

The scope of a managed website, website build, migration or maintenance service is determined by the package description, quotation or other written agreement relating to that service.

The customer is responsible for supplying any content, images, trademarks, product information or other materials that WebPanda reasonably requires to perform the service and warrants that they have the right to use those materials.

Unless otherwise agreed in writing, the customer retains ownership of the customer’s own website content, branding, photographs, written material and other materials supplied by the customer.

Third-party software, themes, plugins, fonts, stock assets and other licensed materials remain subject to their respective licences and are not transferred to the customer merely because they are used on the customer’s website.

11. Elementor Pro and Other Premium Software

Certain eligible WebPanda-hosted services may include access to premium software or functionality supplied using licences held by WebPanda.

11.1 Elementor Pro

Where Elementor Pro is expressly included with a WebPanda service, it is provided as a benefit of the qualifying WebPanda-hosted service.

The Elementor subscription, account, activation credentials and subscription services supplied by WebPanda remain under WebPanda’s control and are not sold, assigned or transferred to the customer.

Complimentary access to WebPanda’s Elementor Pro subscription applies only while the qualifying service remains active and the applicable website remains hosted with WebPanda.

If the service is cancelled, terminated or the website is moved to another hosting provider, WebPanda may deactivate its Elementor Pro licence from that website.

The customer may then obtain their own Elementor Pro subscription directly from Elementor if they wish to continue receiving the premium updates, support, cloud services or other subscription benefits associated with an active Elementor Pro subscription.

Deactivation of WebPanda’s subscription does not transfer ownership of the customer’s website content to WebPanda.

11.2 Other Premium Plugins, Themes and Services

WebPanda may use premium plugins, themes, software, development tools or third-party services when building, hosting, maintaining or managing a customer’s website.

Some of these products may be activated using licences, subscriptions, agency accounts, developer accounts or other credentials held by WebPanda.

Unless WebPanda expressly agrees otherwise in writing, the use of such software on a customer’s website does not constitute the sale, assignment or transfer of WebPanda’s underlying licence, subscription, account, licence key or other credentials to the customer.

Where access to premium software is provided as part of a WebPanda service, that access may depend on the relevant WebPanda service remaining active or on WebPanda continuing to manage or host the website.

If the applicable service ends, the website is transferred away from WebPanda, or WebPanda otherwise ceases managing the website, WebPanda may deactivate any WebPanda-controlled licence or activation associated with that software where permitted by the applicable third-party licence terms.

The customer may then need to obtain their own licence or subscription from the relevant software provider in order to continue receiving updates, premium features, vendor support, cloud services or other functionality that requires an active licence.

Third-party suppliers may change their products, licence terms, pricing, availability or functionality independently of WebPanda. Where reasonably necessary, WebPanda may replace, modify or discontinue the use of a particular third-party product or service.

12. Third-Party Services

Websites and hosting services may interact with software and services operated by third parties, including WordPress plugins, themes, payment gateways, analytics providers, domain registrars, content delivery networks and external APIs.

Those services may be governed by their own terms, privacy policies and licensing conditions.

WebPanda is not responsible for outages, changes, discontinued functionality or other failures caused solely by an independent third-party service outside our reasonable control.

13. Backups and Data

Where a WebPanda package includes backups, WebPanda will use reasonable technical measures to perform backups according to the applicable service configuration.

No backup system is infallible. Customers should maintain independent copies of important websites, databases, email, files and other business-critical data where appropriate.

Backup retention periods may be limited and backups are not intended to provide permanent archival storage.

Restoration from a backup is subject to the availability and integrity of an appropriate backup copy.

14. Website and Account Security

WebPanda takes reasonable measures to protect its systems and services, but no internet-connected service can be guaranteed completely secure.

Customers must use reasonable security practices, including protecting passwords, limiting administrative access and keeping customer-controlled software reasonably secure.

WebPanda may take urgent action to isolate, suspend or restrict a compromised website or account where reasonably necessary to protect the affected customer, other customers or our infrastructure.

15. Acceptable Use

You may not use WebPanda services to:

  • Break any applicable law;
  • Host or distribute malware, ransomware, viruses or malicious code;
  • Conduct phishing, fraud or identity theft;
  • Send spam or unsolicited bulk communications;
  • Attack, scan, compromise or interfere with systems without authorisation;
  • Infringe the intellectual property rights of another person;
  • Host content that you do not have the lawful right to publish;
  • Attempt to gain unauthorised access to WebPanda systems or another customer’s account; or
  • Use resources in a manner that materially interferes with the service provided to other customers.

We may investigate suspected abuse and may restrict or suspend an affected service where reasonably necessary.

16. Ecommerce Websites and Customer Transactions

If WebPanda hosts or manages an ecommerce website for you, transactions made between you and your own customers remain your responsibility.

You are responsible for your products and services, pricing, fulfilment, refunds, taxes, consumer disclosures, privacy obligations and compliance with laws applicable to your business.

Payment gateways and other transaction services may be provided by independent third parties and are subject to those providers’ own terms and fees.

17. Support

WebPanda provides support through the channels made available on our website and Client Area.

We aim to respond to support requests within a reasonable period, taking into account the nature, urgency and complexity of the issue.

Unless a specific service-level agreement has been agreed in writing, estimated response or resolution times are targets rather than guaranteed deadlines.

Support does not automatically include custom development, redesign work, content creation or troubleshooting of unrelated third-party systems unless those services are included in the customer’s package or separately agreed.

18. Intellectual Property

WebPanda’s name, branding, logos, website design, documentation and other materials created and owned by WebPanda remain the intellectual property of WebPanda or its respective licensors.

The customer’s use of WebPanda services does not transfer ownership of WebPanda’s trademarks, software licences, supplier accounts or other intellectual property.

Likewise, WebPanda does not obtain ownership of a customer’s own trademarks, written content, photographs or other original material merely because that material is hosted or used in providing the service.

19. Suspension and Termination

WebPanda may suspend or terminate a service where reasonably necessary because of:

  • Non-payment;
  • Material breach of these Terms;
  • Illegal or abusive use;
  • A serious security threat;
  • Fraud or attempted fraud;
  • Orders from a competent legal or regulatory authority; or
  • Conduct that materially threatens WebPanda’s infrastructure or other customers.

Where circumstances reasonably allow, we will attempt to give the customer an opportunity to correct a problem before permanent termination. Immediate action may be required for security incidents, unlawful activity or serious abuse.

20. Availability of Services

WebPanda aims to provide reliable services but does not guarantee that every service will be uninterrupted or error-free at all times.

Availability may be affected by maintenance, hardware failure, software failure, internet routing, upstream providers, power or network incidents, cyberattacks, registry or DNS failures and events outside WebPanda’s reasonable control.

We may perform maintenance or make technical changes where reasonably necessary to maintain security, reliability and performance.

21. Limitation of Liability

To the maximum extent permitted by applicable law, WebPanda will not be liable for indirect, incidental, special or consequential loss arising from the use or inability to use a service, including loss of profit, revenue, business opportunity or anticipated savings.

WebPanda will not be responsible for loss caused solely by circumstances outside our reasonable control, a customer’s acts or omissions, or the failure of an independent third-party service provider.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under South African law.

22. Indemnity

To the extent permitted by law, you agree to indemnify WebPanda against claims, losses and reasonable costs arising directly from unlawful content or activities carried out through your service, your infringement of another person’s rights, or your material breach of these Terms.

23. Privacy and Personal Information

WebPanda processes personal information in accordance with applicable South African data protection law and our Privacy Policy.

Where providing a service requires information to be supplied to a domain registrar, payment provider, infrastructure provider or another service provider, we may process and disclose the information reasonably necessary to provide that service.

24. Changes to These Terms

WebPanda may update these Terms from time to time to reflect changes to our services, suppliers, technology, pricing, legal obligations or business practices.

The current version will be published on our website with an updated revision date.

Where a change materially affects an existing customer’s rights or obligations, we will provide notice where required by law or where reasonably practical.

25. South African Law

These Terms and the provision of WebPanda services are governed by the laws of the Republic of South Africa.

Nothing in these Terms limits any rights or remedies available to a consumer under the Consumer Protection Act, Electronic Communications and Transactions Act, Protection of Personal Information Act or other applicable South African legislation where those rights cannot lawfully be excluded.

26. General

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by WebPanda to enforce a provision on one occasion does not permanently waive that provision.

These Terms, together with the applicable order, quotation, Privacy Policy and any specific written service terms, constitute the agreement relating to the applicable WebPanda service.
